The banking and finance sector in Estonia comprises, in addition to credit institutions, also financial institutions, insurance companies, investment funds, and financial auxiliaries. 

We assist clients operating in the area with various financial products, such as asset finance, banking, corporate finance, financial regulatory, syndicated lending, project financing, trade finance and securitization.  We also advise regularly on a variety of financial services matters, including bank regulation, securities regulation, exchange regulation, general compliance, market abuse, and MiFID.

Our experts have advised several initial and secondary private debt and equity offerings and public offerings on the NASDAQ OMX Tallinn Exchange, and elsewhere, including IPOs on the London AIM and First North in Stockholm. Our lawyers have also represented clients in disputes with financial supervisory authorities of various countries, incl Estonian Financial Inspectorate and U.S. Securities and Exchange Commission (SEC).

Our recent experience includes:

  • advising Swedbank, SEB Bank, Nordea Bank and Danske Bank (Sampo Bank) on analysis of the feasibility of creating and establishing a common ATM network covering the Baltic region;
  • advising  Swedbank in the market analysis proceedings on multilateral interchange fees based on the MasterCard ruling and other EU competition developments;
  • advising leading Central and Eastern European investment and corporate advisory firm Trigon Capital on initial and secondary offerings of shares in Trigon Agri on the First North marketplace in Stockholm;
  • advising Estonian investment bank GILD Bankers on all aspects of their activities, e.g capital markets, corporate finance, fund formation and financial services regulatory issues;
  • advising the European Investment Bank (EIB) on European Public Offering of Climate Awareness Bonds, value up to EUR 1 bio;
  • advising a major international finance group on a takeover bid of a leading Baltic financial institution, value EUR 1.7 bio.
